Emily Renshaw’s practice focuses on securities litigation defense, regulatory matters, and complex commercial litigation. She represents public companies and their executives and directors, investment firms and their management, and private companies in shareholder class actions, derivative actions, governmental, regulatory, and internal investigations, and civil litigation. Emily represents clients before federal and state trial and appellate courts, and in enforcement and examination proceedings brought by the US Securities and Exchange Commission, Department of Justice, and state securities agencies.

Active in pro bono work, Emily represents individuals and nonprofit organizations in litigation matters involving contract disputes, constitutional issues, and issues of international and family law.

While in law school, Emily served as a judicial extern for the Hon. Nancy Gertner of the US District Court for the District of Massachusetts.

Synchronoss Technologies (2021) — Obtained dismissal with prejudice of all claims asserted in shareholder derivative action litigation against certain of the Company’s senior officers and directors, where plaintiffs alleged, among other things, that the Company’s Board breached its fiduciary duties in connection with the Company’s sale of a business line
Casa Systems (2021) — Obtained dismissal with prejudice of all 1933 Act strict liability claims asserted against the Company and certain of its directors and officers in a federal securities class action filed in Massachusetts state court, pursuant to the U.S. Supreme Court’s ruling in the Cyan case, arising out of the initial public offering of Casa’s stock
Publicly held biopharmaceutical company (2020) — Represented a publicly held biopharmaceutical company and its current and former officers in an SEC investigation concerning the Company’s public statements regarding the commercial viability of, and anticipated patient population for, a principal drug candidate. (SEC declined enforcement action)
Synchronoss Technologies (2019) — Obtained dismissal of all claims asserted in shareholder derivative action litigation against certain of the Company’s senior officers and directors, where plaintiffs alleged that the Board breached its fiduciary duties in the connection with the Company’s sale of a business line, with leave to replead
Tempur Sealy (2019) — Court dismissed all claims in a federal securities fraud class action asserted against Tempur Sealy, its CEO, and CFO, following stock drop triggered by the loss of the company’s largest customer, Mattress Firm
Publicly held global services company (2018) — Represented a publicly held global services company in an SEC investigation concerning the Company’s accounting practices and internal controls following whistleblower complaint (no action taken by SEC)
Freddie Mac (2018) — Second chaired Daubert hearing that resulted in court denying class certification in a multibillion dollar federal securities fraud class action against Freddie Mac, and the exclusion of plaintiff’s class certification expert’s testimony
Teva Pharmaceutical Industries (2018) — Court dismissed all claims asserted against a leading generic drug manufacturer and its officers and directors in federal securities fraud class action, including the dismissal of all strict liability claims asserted under the Securities Act of 1933
NetScout Systems (2015) — Court denied in its entirety defendant’s motion to dismiss NetScout’s claims for violation of the Connecticut Unfair Trade Practices Act and for corporate defamation based on NetScout’s allegations that Gartner has a “pay-to-play” business model and that Gartner published false and defamatory statements
Tempur Sealy (2015) — US Court of Appeals for the Sixth Circuit affirmed district court’s grant of a motion to dismiss federal securities fraud class action filed against Tempur and its officers and directors, notwithstanding allegations concerning over $15 million in stock trading by company management
Freddie Mac (2014) — Court dismissed all claims asserted against Freddie Mac in multibillion dollar federal securities fraud class action filed in the Northern District of Ohio, where plaintiffs challenged the adequacy of Freddie Mac’s disclosures regarding its participation in the subprime and nonconforming mortgage markets prior to Freddie Mac’s placement into conservatorship
Tempur Sealy (2014) — Court dismissed all claims asserted against Tempur and its officers and directors in securities fraud class action
Freddie Mac (2013) — US Court of Appeals for the Second Circuit affirmed the grant of motion to dismiss all claims asserted against Freddie Mac in multibillion-dollar federal securities fraud class action filed in the Southern District of New York, where plaintiffs alleged Freddie Mac mislead investors regarding its participation in the subprime and nonconforming mortgage markets, as well as its capital adequacy, internal controls and underwriting practices, prior to Freddie Mac’s placement into conservatorship
New England Patriots (2013) — Court granted summary judgment for the New England Patriots in a multimillion dollar contract dispute by an international brewing company
Freddie Mac (2012) — Court dismissed all claims asserted against Freddie Mac in a multibillion-dollar federal securities fraud class action pending in the Southern District of New York
BJ’s Wholesale Club (2012) – Court granted summary judgment for BJ’s Wholesale Club in connection with claims brought on behalf of a putative class of consumers
Freddie Mac (2011) — Court dismissed all claims asserted against Freddie Mac in a federal securities fraud class action where plaintiffs alleged Freddie Mac misled investors regarding its participation in the subprime and non-traditional mortgage markets, its capital adequacy, and its internal controls and underwriting practices, prior to Freddie Mac’s placement into conservatorship
